Terms of Service

Effective date: 1 January 2025. These Terms of Service ("Terms") constitute a binding legal agreement between you and JetherWeb ("VAjeter", "we", "our", or "us") governing your access to and use of the VAjeter platform at vajeter.com. By accessing or using our platform, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Platform Description and Parties

VAjeter is a virtual assistant staffing and workforce coordination platform operated by JetherWeb, a business enterprise based in the Philippines. Our platform connects business clients with vetted virtual assistant professionals and supports country partners in facilitating staffing arrangements within their regions.

These Terms apply to all users of the platform, including business clients ("Clients"), virtual assistant professionals ("VAs"), country partners ("Partners"), and any other registered or anonymous users. Specific obligations and rights may vary depending on your registered role.

2. Account Registration and Eligibility

To access most features of the VAjeter platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date.

You must be at least 18 years of age to register an account. By registering, you represent and warrant that you meet this requirement.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must not share credentials or allow unauthorized persons to access your account.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in activities harmful to the platform or its users.

3. Identity Verification

Certain user roles (including virtual assistants and country partners) are required to complete identity verification as part of the onboarding process. Identity verification is conducted by a certified third-party KYC provider, Didit (didit.me). Completion of identity verification is a prerequisite for full platform participation in affected roles.

Providing false, misleading, or another person's identity during the verification process constitutes a material breach of these Terms and may result in immediate account termination and referral to relevant authorities.

4. Service Scope and Limitations

VAjeter provides staffing coordination, onboarding support, and engagement management services. The platform facilitates connections between clients and VAs but does not guarantee the availability of specific talent, the completion of any work outcome, or any specific business result.

VAjeter is not an employer of virtual assistants. VAs registered on the platform are independent professionals. Any employment or service relationship is established directly between the client and the VA within the terms agreed through the platform.

VAjeter coordinates financial arrangements and provides the operational infrastructure for engagement management but is not a party to individual employment contracts or service agreements between clients and VAs.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the platform at any time, with reasonable notice to affected users where practicable.

5. Country Partner Obligations

Country Partners are authorized to represent VAjeter within their designated regions under a separate Partner Agreement, which incorporates these Terms and contains additional obligations and commercial terms.

Partners are not employees or agents of VAjeter and have no authority to create binding obligations on behalf of VAjeter outside their designated scope.

Partner commission arrangements are defined by the active pricing configuration maintained in the VAjeter system and communicated through the Partner Agreement. Commission rates may be updated with reasonable notice.

Protected lead attribution is maintained for client accounts registered through a partner's referral channel. This attribution is subject to the terms of the Partner Agreement.

6. Client Obligations

Clients must provide accurate staffing requirements and timely responses to onboarding and coordination communications.

Clients are responsible for defining roles, responsibilities, and working arrangements with assigned VAs clearly and in good faith.

Clients must not engage with VAs sourced through VAjeter outside the platform or in a manner that circumvents the platform's coordination and payment infrastructure during the term of a supported engagement.

Clients agree to treat VAs with professionalism and respect and to comply with all applicable employment, data protection, and business conduct laws relevant to their jurisdiction.

7. Virtual Assistant Obligations

VAs must provide accurate professional profiles, skills, and availability information.

VAs are responsible for completing assigned work to the agreed standard and for communicating proactively with clients and VAjeter coordinators regarding any issues affecting their availability or performance.

VAs must comply with platform conduct standards, confidentiality requirements applicable to client engagements, and any applicable data protection obligations relevant to the client's business.

VAs agree to complete the required identity verification process as a condition of active placement consideration.

8. Pricing, Fees, and Payment

Service fees applicable to client staffing arrangements are defined per engagement and communicated transparently through the platform's pricing framework. Pricing is configured in the VAjeter system and may vary based on staffing category, VA experience level, and coordination scope.

Fees are payable according to the billing terms agreed for each engagement. VAjeter reserves the right to update its pricing framework with reasonable prior notice.

In the event of payment disputes, clients must notify VAjeter through the contact page at /contact within 15 days of the relevant billing date.

VAjeter does not guarantee refunds for services already rendered. Any exceptions are assessed on a case-by-case basis at VAjeter's sole discretion.

9. Acceptable Use

You agree not to use the VAjeter platform to:

• Impersonate any person or entity or misrepresent your identity, professional credentials, or authority.

• Submit unlawful, defamatory, harassing, abusive, or discriminatory content.

• Access, probe, or test the security of any system or network without authorization.

• Introduce malware, viruses, or any other harmful code into the platform.

• Circumvent access controls, bypass authentication mechanisms, or exploit platform vulnerabilities.

• Collect or harvest personal information of other users without explicit authorization.

• Use the platform for any purpose that violates applicable laws or regulations in your jurisdiction or in the Philippines.

10. Intellectual Property

All content, design elements, trademarks, logos, and proprietary technology on the VAjeter platform are the intellectual property of JetherWeb or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the platform for its intended purpose. No other intellectual property rights are granted.

11. Confidentiality

Users with access to non-public information about other users, clients, or VAjeter operations — including VAs who access client data through their engagements — are expected to treat such information as confidential and not to disclose it to unauthorized parties.

12. Limitation of Liability

To the maximum extent permitted by applicable law, VAjeter and JetherWeb shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the platform, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from or related to these Terms or your use of the platform shall not exceed the amounts paid by you to VAjeter in the three (3) months preceding the event giving rise to the claim.

13. Termination

Either party may terminate an account or engagement arrangement by providing written notice through the platform or via our contact page at /contact, subject to any notice obligations in separate engagement or partner agreements.

VAjeter reserves the right to immediately suspend or terminate accounts that violate these Terms without prior notice.

Upon termination, your right to access the platform ceases. Provisions of these Terms that by their nature should survive termination (including confidentiality, intellectual property, limitation of liability, and governing law) shall continue to apply.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of laws principles.

Any disputes arising from or related to these Terms or your use of the VAjeter platform shall first be subject to good-faith negotiation between the parties. If not resolved within 30 days, disputes shall be submitted to the jurisdiction of the appropriate courts of the Philippines.

For users located in jurisdictions with mandatory local consumer protection laws (including EEA member states), nothing in these Terms limits rights you may have under those mandatory local laws.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through a notice on our platform or via email. Continued use of VAjeter following notice of changes constitutes acceptance of the updated Terms. The effective date at the top of this document reflects the date of the most recent revision.
